This advanced corporate law seminar will examine corporate governance from an English and EU perspective. Among the topics that will be examined are: paradigms of corporate governance, the uniqueness of corporate law making in the UK, shareholders' rights of intervention in corporate decision-making, institutional investors and shareholder activism, the market for corporate control and the regulation of takeovers in the UK and EU, audit and risk management, constraints on executive remuneration and the different approaches to the design and control of executive remuneration. Students will be expected to participate regularly, lead a class discussion, and prepare a research paper, which can qualify for the Upperclass Writing Requirement if the student so elects.
