Article by Professor Minor Myers Selected for Top 10 Corporate and Securities List
Appraisal Arbitrage and the Future of Public Company M&A, co-authored by Professor Minor Myers (with Professor Charles Korsmo, Case Western Reserve School of Law), was named a Top 10 Corporate and Securities Article in a list compiled by Corporate Practice Commentator.
In the article, Myers and Korsmo demonstrate that the stockholder’s appraisal remedy — long-dismissed in corporate law scholarship as useless or worse — is having a renaissance in public company mergers. They argue that this surge in appraisal activity promises to benefit public shareholders in circumstances where they are most vulnerable.
The top-10 list reflects the choices of academics in the corporate and securities law arena from more than 490 articles.
Myers teaches courses on corporate law, mergers and acquisitions, corporate finance, and property. His scholarship focuses on corporate governance, shareholder litigation, executive compensation, and corporate director behavior. His articles have appeared in the University of Pennsylvania Law Review, the Iowa Law Review, the University of Illinois Law Review, the Washington University Law Review, the Delaware Journal of Corporate Law, Indiana Law Journal, among others.
His work has twice been selected for the Harvard/Stanford/Yale Junior Faculty Forum. He has also presented his research at the NYU/Penn Conference on Law & Finance, the American Law & Economics Association annual meeting, and the Conference on Empirical Legal Studies. He is affiliated with the Dennis J. Block Center for the Study of International Business Law and the Center for the Study of Business Law & Regulation. Prior to teaching, he practiced in the corporate and litigation departments of Debevoise & Plimpton in New York. He also clerked for Judge Peter W. Hall and then Judge Ralph K. Winter of the U.S. Court of Appeals for the Second Circuit.
